Article 1. Name.

The name of this organization shall be the Faculty & Friends Club of Florida State University.

Article 2. Purpose.

The purpose of the Faculty & Friends Club is to create a social environment wherein faculty, administrative, professional and support staff, retired faculty of the University, and their families can meet to exchange ideas, share experiences and strengthen friendships.

Article 3. Membership.

Section l. The following are eligible to be members of the Faculty & Friends Club.
a. Current and retired members of the faculty of the University.
b. Current and retired administrative, professional and support staff of the University.
c. Religious directors and staff of university chaplaincies.
d. Visiting faculty.
e. The Board of Trustees and their professional staff.
f. Spouses, widow(er)s and parents of the above.
g. Friends who support the aims and activities of the Faculty & Friends Club.
h. Previously eligible members.
Section 2. Dues. Dues for members shall be set by the executive board and ratified by a majority vote of the members present and voting at the club’s spring business meeting.

Article 4. Business Meetings.

Section 1. Business Meetings. There shall be at least one business meeting of the club each year. This meeting should be held in the last month of the academic year.
Section 2. Special Business Meetings. A special business meeting may be called by the president on receiving a majority vote of the executive board or on receiving a written petition requesting such meeting, endorsed by at least 20 members of the club.
Section 3. Quorum. The members present at a duly called meeting shall constitute a quorum for carrying out club business.
Section 4. Voting. The affairs of the club shall be conducted by the majority vote of members voting unless otherwise provided in this constitution.
Section 5. Parliamentary Guide. In all matters not covered by this constitution, the club shall be governed by the current edition of THE STANDARD CODE OF PARLIAMENTARY PROCEDURE.
Section 6. Matters not reserved to the membership by this constitution are delegated to the executive board.

Article 5. Officers.

Section l. Officers. The elected officers shall be the president, the first vice president/president-elect (programs), the second vice president (membership), the recording secretary, the corresponding secretary, the treasurer, and the chair of the nominating committee.
Section 2. Terms of Office. The terms of office shall be one year beginning at the joint meeting of the old and new boards following the spring business meeting of the club at which they were elected. They shall serve until their successors are elected and take office at the board meeting following that election.
Section 3. Election. The officers shall be elected at the spring business meeting of the club from a slate submitted by the nominating committee in writing 30 days prior to the spring business meeting of the club. Nominations may be made from the floor.
Section 4. Duties of the Officers. The officers shall perform those duties assigned to them by this constitution, the executive board and the parliamentary authority adopted by the club.
a. The president shall submit an annual operating budget to the executive board for their approval and prepare an annual booklet listing the elected officers and other members of the executive board; club activities, special interest groups and such other information as the president and first vice president may deem appropriate.
b. The first vice president/president elect shall serve as program chair.
c. The second vice president shall keep the current membership list.

Article 6. Executive Board.

Section 1. Elected Members. There shall be an executive board composed of the president, the first vice president, the second vice president, the recording secretary, the corresponding secretary, the treasurer, immediate past president, and the nominating chair.
Section 2. Appointed Members. At his/her discretion, the president shall have the authority to appoint such other persons to the executive board who may become necessary to help the club function. E.g., a newcomer liaison; an interest groups chair; a newsletter editor; a scholarship coordinator; a friendship secretary; a historian; a webmaster. They shall report to the president, and serve at the pleasure of the president.
Section 3. Terms of Office. The terms of office of the board shall be one year beginning at the joint meeting of the old and new boards following the spring business meeting of the club. They shall serve until their successors are appointed and take office at the board meeting following the spring business meeting of the next year.
Section 4. Duties. The executive board shall have general supervision of the affairs of the club between its meetings, fix the time and place of business meetings, make recommendations to the club, provide for an annual examination of the treasurer’s books, and perform other duties specified by this constitution or parliamentary authority.
Section 5. Powers. Except on those matters expressly reserved to the full membership in this constitution, the executive board shall have sole power on behalf of the club, or any of its interest groups or subunits, to incur indebtedness, solicit funding, and establish and maintain relations with other organizations.
Section 6. Quorum and Voting. The appointed members present and a majority of the elected members of the executive board shall constitute a quorum. Resolutions of the executive board shall be supported by the vote of a majority of its members present.
